Agreement to Our Legal Terms

Candor Health Intel provides independent research and intelligence services, including healthcare-related updates, summaries, templates, alerts, resources, and subscription content.

2. Intellectual Property Rights

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos.

The Services and content are provided “as is” for your internal business purposes only.

We reserve the right to remove, reclaim, or change a username if we determine it is inappropriate, obscene, or otherwise objectionable.

6. Purchases and Payment

We accept the following payment methods:

You agree to provide current, complete, and accurate purchase and account information. You agree to promptly update payment information so we can complete transactions and contact you as needed.

All payments shall be in U.S. dollars. We may change prices at any time. We reserve the right to correct pricing errors, even if payment has already been requested or received.

We may refuse, limit, or cancel any order at our discretion.

7. Subscriptions

Billing and Renewal

Subscriptions automatically renew unless canceled. You authorize us to charge your payment method on a recurring basis without requiring prior approval for each recurring charge.

The billing cycle is monthly unless otherwise stated at checkout.

Cancellation

You may cancel your subscription at any time by logging into your account. Cancellation will take effect at the end of the current paid term.

Fee Changes

We may change subscription fees from time to time and will communicate price changes in accordance with applicable law.

8. Refund Policy

All sales are final, and no refunds will be issued.

9. Prohibited Activities

You may not use the Services for any purpose other than the purpose for which we make them available.

You agree not to:

Systematically retrieve data or content; trick, defraud, or mislead us or other users; interfere with security features; harass, abuse, or harm others; submit false reports; violate laws; upload viruses or malicious code; use bots, scrapers, or automated tools; impersonate another person; reverse engineer software; collect user information for unsolicited email; compete with us using our content; share login credentials; resell or transfer your account; or advertise goods or services without permission.

You may not share, distribute, forward, republish, reproduce, or publicly post subscriber-only digest content, templates, alerts, or resources without our written permission.

10. User Generated Contributions

The Services may allow users to post, upload, submit, or transmit content. You are responsible for anything you contribute.

You agree not to submit content that is unlawful, harmful, defamatory, obscene, abusive, discriminatory, threatening, misleading, infringing, or otherwise objectionable.

We reserve the right to remove content at our discretion.

11. Contribution License

By submitting content through the Services, you grant us a worldwide, royalty-free, transferable, sublicensable license to use, reproduce, distribute, display, and create derivative works from your contributions as necessary to operate, promote, and improve the Services.

We reserve the right to correct errors and update information at any time without prior notice.

19. Disclaimer

To the fullest extent permitted by law, Candor Health Intel and its directors, employees, agents, or affiliates shall not be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages arising from your use of the Services.

Our total liability to you for any claim shall not exceed the amount paid by you to us during the six months before the claim arose.

21. Indemnification

You agree to defend, indemnify, and hold harmless Candor Health Intel, including its officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand arising out of your use of the Services, breach of these Terms, violation of law, or violation of third-party rights.

22. User Data

We may maintain certain data that you transmit to the Services for managing performance and operation.

Although we perform routine backups, you are solely responsible for data you transmit or that relates to your activity using the Services.

We are not liable for loss or corruption of such data.

23. Electronic Communications, Transactions, and Signatures

By using the Services, sending emails, or completing online forms, you consent to receive electronic communications from us.

You agree that electronic communications, signatures, contracts, orders, notices, and records satisfy any legal requirement that such communications be in writing.

24. California Users and Residents

If any complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

25. Miscellaneous

These Terms and any policies posted by us constitute the entire agreement between you and us.

Our failure to enforce any right or provision shall not operate as a waiver of that right or provision.

If any provision is determined to be unlawful or unenforceable, that provision shall be severed and the remaining provisions will remain in effect.

You may not assign your rights under these Terms without our written consent.

Candor Health Intel is an independent research and intelligence service.

All content published through the platform, including but not limited to weekly digests, member portal resources, templates, alerts, and other communications, is provided for informational purposes only and represents the publisher’s interpretation of publicly available primary sources at the time of publication.

Nothing published by Candor Health Intel constitutes legal advice, billing advice, compliance guidance, medical advice, financial advice, or a professional opinion of any kind.

Subscribers are solely responsible for verifying all information against current primary sources and for all billing, coding, reimbursement, operational, and compliance decisions made by their practice or organization.
